Antithesis Studio

These Terms and Conditions ("Agreement") govern all services provided by Antithesis Studio ("Studio," "we," "us," "our") to clients ("Client," "you," "your"). By engaging our services or accessing our website (antithesis.studio), you agree to be bound by these Terms and Conditions.
1. Services
The Studio provides professional design, branding, web design, and related creative services as specified in individual project quotes and invoices ("Services"). The specific scope of work, deliverables, and timelines will be detailed in a written project specification document or invoice, which forms part of this Agreement.
1.1 Additional Services
Any work requested beyond the scope outlined in the project specification ("Additional Services") will be charged at the Studio's hourly rate of $75 CAD/hour or as otherwise mutually agreed upon in writing before work commences.
1.2 Service Modifications
The Studio reserves the right to make modifications to Services to comply with applicable laws or regulations. The Studio will notify the Client of any material changes that affect the scope, timeline, or cost of Services.
2. Scope of Work and Deliverables
2.1 Project Specifications
All Services are performed according to the written project specification document or invoice provided to the Client. The Client is responsible for providing clear, detailed requirements and feedback to ensure the Studio understands the project objectives.
2.2 Revisions
Standard revision rounds are included in the quoted price and specified in the project agreement. Additional revisions beyond the agreed-upon rounds will be charged at the hourly rate specified in Section 1.1.
2.3 Client Approval and Timelines
The Client must review all draft works and provide written approval or constructive feedback within 2 business days of delivery ("Approval Deadline"). Delays in approval may impact project timelines and delivery dates.
3. Payment Terms
3.1 Payment Schedule
Payment terms will be clearly outlined in the project invoice. Standard payment structure includes:
⦁ 50% deposit due upon project commencement
⦁ 50% balance due upon final delivery
Alternative payment arrangements may be negotiated and must be confirmed in writing.
3.2 Accepted Payment Methods
The Studio accepts payment via:
⦁ E-transfer
⦁ Credit card (with 2% processing fee)
⦁ Bank transfer
⦁ Other methods as mutually agreed
3.3 Late Payment
If payment is not received by the due date specified in the invoice, the Studio may:
⦁ Suspend work on the project
⦁ Charge interest at 1.5% per month on overdue amounts
⦁ Pursue collection action
3.4 Expenses
Out-of-pocket expenses (stock imagery, premium fonts, third-party services, etc.) incurred with the Client's approval will be reimbursed and itemized on the final invoice.
4. Intellectual Property Rights
4.1 Ownership of Work
Upon receipt of full payment, all intellectual property rights, including copyright and design rights, in the completed deliverables are transferred to the Client. Until full payment is received, the Studio retains all intellectual property rights.
4.2 Studio Portfolio Rights
The Studio retains the right to display completed projects in its portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing before project commencement. The Studio will credit Antithesis Studio in any public use of the work.
4.3 Client Content
The Client warrants that any content, images, copy, or materials provided to the Studio do not infringe on third-party intellectual property rights. The Client grants the Studio a non-exclusive license to use, reproduce, and modify Client-provided content solely for the purpose of completing the Services.
4.4 Third-Party Materials
The Studio may incorporate third-party licensed materials (fonts, stock imagery, plugins) in the deliverables. The Client is responsible for obtaining appropriate licenses for extended use of these materials beyond the Studio's license terms.
5. Warranties and Representations
5.1 Studio Warranties
The Studio warrants that:
⦁ Services will be performed in a professional and timely manner
⦁ Services will comply with applicable industry standards
⦁ Works delivered do not, to the best of the Studio's knowledge, infringe on third-party intellectual property rights
⦁ The Studio will maintain reasonable care and skill in executing the Services
5.2 Disclaimer
The Studio does not warrant that Services will meet all Client expectations or produce specific business results. Design outcomes are subjective and dependent on Client feedback, direction, and approval throughout the project.
6. Limitation of Liability
6.1 Liability Cap
The Studio's total liability for any claims arising from this Agreement shall not exceed the total fees paid by the Client for the specific Services in question, or $5,000 CAD, whichever is lower.
6.2 Excluded Damages
In no event shall the Studio be liable for:
⦁ Indirect, incidental, consequential, or punitive damages
⦁ Loss of profits, business opportunities, or goodwill
⦁ Damages resulting from Client's misuse of deliverables or failure to follow recommendations
7. Confidentiality
7.1 Confidential Information
Both parties agree to maintain the confidentiality of any proprietary, sensitive, or business-critical information shared during the course of the project. This includes Client business strategies, pricing, unreleased products, and other non-public information.
7.2 Permitted Disclosure
Confidentiality obligations do not apply to information that is:
⦁ Publicly available or becomes public through no fault of the receiving party
⦁ Rightfully obtained from a third party without confidentiality restrictions
⦁ Independently developed without reference to the confidential information
⦁ Required to be disclosed by law or court order
8. Termination
8.1 Termination by Client
The Client may terminate the project with written notice. Upon termination:
⦁ The Client is responsible for payment of all work completed to the termination date
⦁ Any deposits paid are non-refundable unless agreed otherwise in writing
⦁ The Studio will deliver all work-in-progress materials in their current state
8.2 Termination by Studio
The Studio may terminate the agreement if:
⦁ Payment is more than 14 days overdue
⦁ The Client engages in abusive, harassing, or inappropriate conduct
⦁ The Client repeatedly violates the terms of this Agreement
Upon termination by the Studio, the Client remains responsible for payment of all work completed.
9. Project Timeline and Delivery
9.1 Estimated Timelines
Project timelines provided by the Studio are estimates based on the scope outlined. The Studio will make reasonable efforts to meet agreed-upon deadlines but does not guarantee specific delivery dates.
9.2 Delays
Delays may occur due to:
⦁ Late or incomplete Client feedback and approval
⦁ Changes to project scope
⦁ Third-party dependencies (hosting providers, vendors)
⦁ Circumstances beyond the Studio's reasonable control
The Studio will communicate any anticipated delays to the Client promptly.
9.3 Rush Projects
Expedited timelines may incur a rush fee of 25-50% of the project cost, to be confirmed in writing before work begins.
10. Revisions and Changes
10.1 Revision Policy
The number of included revision rounds is specified in the project quote. Revisions include:
⦁ Minor design adjustments
⦁ Copy edits and updates
⦁ Color or layout refinements
Major changes, additions to scope, or significant restructuring are considered Additional Services and will be charged accordingly.
10.2 Scope Creep
If the project scope expands significantly beyond the original specification, the Studio will provide a revised quote and timeline for the Client's approval before proceeding.
11. Website Services (if applicable)
11.1 Website Hosting and Maintenance
Unless otherwise specified, the Studio does not provide ongoing hosting, maintenance, or technical support after project delivery. The Client is responsible for:
⦁ Arranging appropriate hosting solutions
⦁ Maintaining regular backups
⦁ Updating content and plugins
⦁ Addressing technical issues post-launch
11.2 Website Performance
The Studio is not responsible for website downtime, performance issues, or security breaches arising after delivery. The Studio recommends regular maintenance and professional hosting services.
11.3 Third-Party Integrations
If the project incorporates third-party services, platforms, or APIs, the Client is responsible for:
⦁ Understanding the terms of use for these services
⦁ Obtaining necessary accounts and credentials
⦁ Ensuring compliance with third-party terms
12. Limitation of Services
12.1 Professional Judgment
The Studio exercises professional judgment in design decisions. The Client should communicate preferences clearly, but the Studio reserves the right to advise against design decisions that conflict with industry best practices, accessibility standards, or usability principles.
12.2 Browser and Device Compatibility
Web designs are tested on current versions of major browsers and devices. Compatibility with older browsers or unusual device configurations is not guaranteed.
13. Acceptable Use
The Client agrees to use the Services and deliverables only for lawful purposes and in accordance with all applicable laws and regulations. The Client shall not:
⦁ Use deliverables to infringe on third-party intellectual property rights
⦁ Republish or resell the Services without explicit written permission from the Studio
⦁ Use deliverables for illegal or unethical purposes
⦁ Misrepresent the origin or authorship of the Studio's work
14. Dispute Resolution
14.1 Governing Law
This Agreement is governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.
14.2 Dispute Resolution Process
In the event of a dispute, the parties agree to:
1. First attempt resolution through good-faith negotiation
2. If unresolved, pursue mediation or arbitration as an alternative to litigation
3. Share the costs of alternative dispute resolution equally
14.3 Jurisdiction
Both parties consent to the jurisdiction of the courts of Ontario, Canada.
15. Privacy and Data Protection
The Studio is committed to protecting Client privacy. Any personal information provided will be handled according to the Studio's Privacy Policy (available on antithesis.studio). The Studio will not share Client information with third parties without explicit written consent, except as required by law.
16. Modifications to Terms and Conditions
The Studio reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to antithesis.studio. Continued engagement with the Studio after modifications indicates acceptance of the updated Terms and Conditions. Clients will be notified of material changes via email if applicable.
17. Entire Agreement
This Agreement, together with any project-specific quotations and invoices, constitutes the entire agreement between the parties regarding the Services and supersedes all prior negotiations, understandings, and agreements, whether written or oral. Modifications to this Agreement are valid only when made in writing and signed by both parties.
18. Severability
If any provision of this Agreement is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, or if that is not possible, the provision will be severed. The remaining provisions will continue in full effect.
19. No Waiver
The failure of either party to enforce any right or provision under this Agreement does not constitute a waiver of that right or provision and does not affect the validity or enforceability of any other provision.
